Thank you for choosing Pi1, powered by Astro. We’re excited to support your productivity journey and treat your trust with the respect it deserves.

We aim to make your experience using our services valuable, transparent, and above all, secure.

This Terms of Service document mirrors the Astro policy under which the Pi1 platform operates, and references New Zealand law and applicable international regulations including the Privacy Act 2020 and GDPR.

1. Introduction 

1.1 Agreement: Your use of the Pi1 Services is governed by these terms of service ("Terms"), together with any applicable agreements or policies notified to you by Pi1 ("we", "us", "our") or via the Pi1 website. By using our Services, you agree to these Terms. If you do not agree, you must not access or use the Services. Pi1's Terms of Service are subject to and operate within the framework of the Astro platform, and as such, are also governed by the terms and conditions of Astro and its third-party service providers, including AI infrastructure and hosting providers.

1.2 Privacy: By using Pi1, you agree to our Privacy Policy. This forms part of these Terms and includes consent to the collection and processing of personal and company data, including use of Astro’s secure platform infrastructure. You authorise us to collect performance and usage data to maintain and improve the Services.

1.3 Changes: We may update these Terms at any time. Updated terms will be posted on our website and, where appropriate, notified to users via email. Continued use of the Services after changes have been posted constitutes acceptance of those changes.

2. Access and Use

2.1 Access Rights: We grant you a non-exclusive, non-transferable right to access and use the Services during the subscription term, subject to these Terms.

2.2 Authorised Users:

You are responsible for: 

  • Securing login details for all authorised users.
  • Ensuring that authorised users comply with these Terms.

2.3 Updates: We may update or modify the Services and perform routine or emergency maintenance. We will notify users where possible.

3. Usage Restrictions

You must not:

  • Use the Services in violation of any laws or regulations.
  • Reverse engineer, copy, or tamper with the platform.
  • Use the Services to transmit harmful or illegal material.
  • Share access with unauthorised users. - Employ the Services for competitive analysis or benchmarking.

4. Support and Availability

4.1 We aim for 99.5% software availability, excluding scheduled maintenance and circumstances outside our control (e.g., internet outages).

4.2 Support is available via email at hello@pi1.nz. Response time depends on the severity level:

  • Level 1 (critical outage): 4 business hours
  • Level 2 (key function impaired): 8 business hours
  • Level 3 (moderate): 3 business days
  • Level 4 (minor): 5 business days

5. Fees and Payment

5.1 Subscription Fees: You agree to pay all subscription and setup fees in advance as outlined in your agreement with us.

5.2 Late Payment: We may suspend access if payment is overdue. Interest of 10% per annum may be charged on unpaid invoices.

6. Data

6.1 You retain ownership of your company and personal data.

6.2 You grant us the right to use your data:

  • To deliver and improve the Services
  • To fulfil legal obligations
  • To operate integrations with trusted AI model providers (see Privacy Policy)

6.3 You are responsible for backing up your data.

7. Intellectual Property

All intellectual property in Pi1 and any improvements or new modules remain our property or the property of our licensors, including Astro.

You grant us a limited licence to use your data and models as necessary to deliver the Services.

8. Confidentiality

Both parties agree to maintain confidentiality regarding business data, personal information, and platform details, except where required by law.

9. Term and Termination

9.1 Your subscription begins on the Start Date and auto-renews monthly unless cancelled with 5 days’ notice prior to renewal.

9.2 Either party may terminate immediately if the other:

  • Breaches a material term and fails to fix it within 10 days
  • Becomes insolvent or ceases business

9.3 Upon termination:

  • You must stop using the Services
  • We may delete your data after 30 days

10. Liability

10.1 We are not liable for indirect or consequential losses.

10.2 Our maximum aggregate liability is limited to the fees paid by you in the previous 12 months.

10.3 You agree to indemnify us against claims arising from your misuse of the Services.

11. General

11.1 These Terms are governed by the laws of New Zealand. Disputes will be handled in the New Zealand courts.

11.2 You may not assign or transfer your rights under these Terms without our written consent.
